Thank you for choosing TokenPocket services. The TokenPocket Service Agreement (hereinafter referred to as "this Agreement") is entered into by and between TP Global Ltd. (hereinafter referred to as "the Company" or "we") and the user (hereinafter referred to as "you" or "the user"). This Agreement constitutes a legally binding contract between you and the Company. The Company specifically reminds you to carefully read this Agreement and the related agreements mentioned herein before using TokenPocket (hereinafter referred to as "TokenPocket" or "the Software"). TokenPocket is available for download on multiple mobile application platforms, including but not limited to Google Play, Chrome Web Store, and Apple App Store. Please pay particular attention to the clauses highlighted in bold, such as the "Disclaimers and Limitations of Liability", to ensure you fully understand each provision and independently assess the associated risks.
1.1 You acknowledge that this Agreement and any related agreements apply to TokenPocket and the decentralized applications (DApps) developed and owned by the Company on TokenPocket (excluding DApps developed by third parties).
1.2 By downloading the TokenPocket software and creating or importing a wallet, you are deemed to have fully read and accepted all the terms of this Agreement. This Agreement takes effect immediately and is binding on both parties.
1.3 The Company reserves the right to update this Agreement at any time. Any revised Agreement will take effect immediately upon publication on TokenPocket, without additional notice. If you do not accept the updated terms, you must discontinue use of TokenPocket immediately. Continued use of TokenPocket will be considered acceptance of the revised Agreement.
1.4 If you are under 18 years of age, or if you lack legal capacity or have limited legal capacity, you must use TokenPocket under the guidance of a parent or legal guardian.
2.1 TokenPocket: Refers to the blockchain wallet developed by the Company, based on blockchain systems such as Bitcoin, Ethereum, BNB Chain, Optimism, Arbitrum, Base, TRON, Solana, Ton, Aptos, SUI, EOS, COSMOS, and other blockchain systems to be supported in the future. It includes auxiliary tools developed to facilitate users’ use of blockchain systems.
2.2 User: To qualify for using TokenPocket, you must meet the following criteria:
a. You must be at least eighteen (18) years old and have the legal capacity to enter into this Agreement.
b. You must not be a resident of any jurisdiction under trade embargoes, UN Security Council resolutions (“UNSCR”), or financial sanctions regimes by the UK Treasury.
c. You must not currently be subject to economic sanctions, such as those listed under the UN Security Council Sanctions List, OFAC’s Specially Designated Nationals List, the U.S. Department of Commerce’s Denied Persons or Entity List, or other relevant sanction lists.
d. If you are using our services on behalf of a legal entity, you further represent and warrant that the legal entity is duly organized and validly existing under the applicable laws of its jurisdiction and that you are duly authorized to act on its behalf.
e. You may only use our services if such use is permitted under the laws of your jurisdiction. If you are located in a jurisdiction where the use of our services is unlawful, you may not use the services.
f. Ensure compliance with all applicable laws, regulations, and rules.
g. You agree to use only lawfully obtained and owned funds in connection with our services.
By using TokenPocket, you represent and warrant that you meet all the eligibility requirements outlined in this Agreement. The Company reserves the right to deny access to certain users or amend eligibility criteria at any time.
2.3 Usage Terms:
a. Creating or Importing a Wallet: Refers to the process of using TokenPocket to agree to this Agreement and create or import a wallet.
b. Wallet Password: Refers to the password entered during wallet creation in TokenPocket. It is used to encrypt and protect the private key. As a decentralized application, TokenPocket does not store wallet passwords on your device or on Company servers. If you lose your password, you must use your private key or mnemonic phrase to reset it.
c. Specific Users: Refers to users required by the laws and regulations of the Cayman Islands to disclose personal information to the Company.
d. Private Key: A 256-bit random character sequence, serving as the core for controlling and using digital tokens.
e. Public Key: Derived unidirectionally from the private key using cryptographic principles, used to generate blockchain wallet addresses (public receiving addresses).
f. Mnemonic Phrase: A sequence of 12 (or 15/18/21/24) ordered words generated by a random algorithm, compliant with the blockchain BIP39 standard. It serves as a recordable form of the private key for convenient backup and storage.
g. Keystore: An encrypted file containing the private key or mnemonic phrase, secured by your wallet password. It is stored only on your mobile device and is not synchronized to Company servers.
h. Digital Tokens: Refers to the types of digital tokens supported by TokenPocket, including but not limited to BTC, ETH, BNB, SOL, etc.
i. Materials: Refers to content such as "Flash News" on TokenPocket, which is owned by the Company and may not be reproduced without authorization.
j. Personal Information: Means information recorded in electronic or any other form which may identify a natural person when used alone or in combination with other information, including but not limited to name, date of birth, identification card number, personal biological identification information, address, telephone number, bank card number, email address, wallet address, mobile device information, operation record, transaction record, but excluding Wallet Password, Private Key, Mnemonic Words, Keystore.
3.1 Create or Import Wallet. You may use TokenPocket to generate a new wallet or import a compatible wallet generated by other wallet tools for the digital tokens supported by TokenPocket.
3.2 Transfer and Receipt. You may use the transfer and receipt functions of TokenPocket to manage digital tokens, i.e., use the private key for electronic signature to modify the ledger of the relevant blockchain. Transfer refers to the payer using the payee's blockchain address for transfer operations. Actual transfer and receipt behaviors occur on the relevant blockchain system (not TokenPocket).
3.3 Market View. You may use TokenPocket to view the exchange rates of digital tokens provided. TokenPocket captures the corresponding digital token exchange rate information and displays it in the "Market" section of TokenPocket.
3.4 Manage Digital Assets. You may use TokenPocket to add, store, and remove digital tokens supported by TokenPocket.
3.5 Browse DApps. Users can jump to DApps through links on TokenPocket and use the services provided by such DApps (including DApps owned by the Company and third-party DApps).
3.6 Transaction Records. We will copy all or part of your transaction records through the blockchain system. However, the transaction records shall be subject to the records of the blockchain system.
3.7 Suspension of Service. You understand that due to the "irreversible" nature of blockchain system transactions, we cannot suspend or revoke transfer transactions for you. However, under certain circumstances, we may suspend or restrict a user's operation of the TokenPocket software.
3.8 Token Swap. Users can exchange digital tokens with third-party smart contracts or third-party DEXs. TokenPocket acts as an interface tool to help users interact with third parties and display the corresponding results of the digital token exchange.
3.9 Third-Party Content and Services. Certain services may be accessed through third-party providers approved by us. It may require you to create an account with us and the relevant third-party provider respectively. When providing certain services, you may view, access, and use the information content, products, or services of one or more third parties (collectively referred to as "Third-Party Content" and "Third-Party Services"). In each such case, you agree to choose to view, access, or use such content and services at your own discretion. Your reliance on any Third-Party Content and use of Third-Party Services related to the Service is subject to this Agreement on the one hand, but on the other hand, it will usually also be subject to the separate terms and conditions stipulated by the applicable third party and/or service provider content. These terms and conditions may involve separate fees and charges, or may include disclaimers or risk warnings regarding the reliance or accuracy of any information. Such terms may also apply privacy policies different from ours. You are responsible for understanding the terms and conditions of such Third-Party Services, including how these service providers use any of your information in accordance with their privacy policies. Third-Party Content and Third-Party Services are provided for your convenience only. We do not verify or control Third-Party Content, nor do we control Third-Party Services. Therefore, we do not guarantee, endorse, or recommend such content or services to any or all users, nor do we guarantee the use of such content or services for any specific purpose. You access, rely on, or use any Third-Party Content or Third-Party Services at your own risk. TokenPocket assumes no responsibility or liability for any loss caused by your reliance on or use of such content or services.
4.1 Adhering to the decentralized characteristics of blockchain and in order to protect the security of users' digital tokens, the Company provides decentralized services, which are very different from banking financial institutions. Users understand that the Company (decentralized solution) does not provide the following services:
a. Store users' wallet passwords (i.e., passwords set by users when creating/importing wallets), private keys, mnemonic phrases, Keystore;
b. Retrieve users' wallet passwords, private keys, mnemonic phrases, Keystore;
c. Freeze wallets;
d. Report lost wallets;
e. Restore wallets;
f. Transaction rollback.
4.2 Since the Company does not provide the above services, users should keep their mobile devices containing TokenPocket, backup TokenPocket, backup wallet passwords, mnemonic phrases, private keys, and Keystore by themselves. If users lose their mobile devices, delete and do not backup TokenPocket, delete and do not backup wallets, have their wallets stolen, or forget their wallet passwords, private keys, mnemonic phrases, Keystore, the Company cannot restore the wallet or retrieve the wallet password, private key, mnemonic phrase, Keystore; if users make mistakes during transactions (such as entering the wrong transfer address), the Company cannot cancel the transaction.
4.3 The digital token management services provided by the Company and TokenPocket do not include all existing digital tokens. Please do not operate any digital tokens not supported by TokenPocket through TokenPocket.
4.4 TokenPocket is only a digital token management tool for users, not an exchange or trading platform. Although this Agreement will mention "transaction" many times, its behavior refers to users using TokenPocket for transfer and receipt, which is essentially different from "transaction" on exchanges or trading platforms.
5.1 Create or Import Wallet:
a. You have the right to create and/or import a wallet on your mobile device through TokenPocket, set the wallet password and other information of the wallet, and use your own wallet to transfer and receive payments on the blockchain through the TokenPocket application.
b. Identity Verification: According to relevant laws, regulations and policy requirements, specific users should complete relevant identity verification in time according to TokenPocket's prompts when using relevant services provided by TokenPocket, requiring you to submit personal information including but not limited to your name, ID number, mobile phone number, bank card number information, etc. Otherwise, the specific user will not be able to use the relevant services, and the losses caused by the specific user's delay shall be borne by you.
5.2 Use:
a. Users should keep their mobile devices, wallet passwords, private keys, mnemonic phrases, Keystore and other information properly. The Company is not responsible for keeping the above information for users. You shall be responsible for all risks, responsibilities, losses and expenses caused by your loss of mobile devices, active or passive leakage, forgetting wallet passwords, private keys, mnemonic phrases, Keystore or being attacked or defrauded by others.
b. Follow Information Prompts. You understand and agree to follow the information prompts made by TokenPocket to you, and operate according to the content of the information prompts, otherwise, all risks, responsibilities, losses and expenses caused thereby shall be borne by you.
5.3 Transfer:
a. You understand that the daily transfer limit and number of transfers available to you in the TokenPocket service may vary due to the country/region where you use the transfer service, regulatory requirements, transfer purpose, TokenPocket risk control, identity verification and other reasons.
b. You understand that based on the "irreversible" attribute of blockchain operations, when you use the TokenPocket transfer function, you should bear the consequences caused by your operation errors (including but not limited to entering the wrong transfer address, problems with the transfer node server selected by yourself).
6.1 You understand and acknowledge that due to the imperfect laws, regulations and policies in the field of digital tokens, digital tokens in this field may have major risks such as inability to cash out and technical instability. And the price fluctuation of digital tokens is much higher than other financial assets. We cautiously remind you that you should rationally choose to hold or dispose of any digital token based on your own financial status and risk preference.
6.2 When using TokenPocket services, if you or your counterparty fails to comply with this Agreement, or fails to follow the instructions, tips or rules on the website or transaction or payment page, TokenPocket does not guarantee the successful transfer of tokens, and TokenPocket does not assume any responsibility for any consequences of such failure.
6.3 You understand the "irreversible" attribute of blockchain operations and the "irrevocable" feature of relevant transactions, and you and your counterparty shall bear the corresponding risk consequences.
6.4 When you use third-party DApp services integrated by TokenPocket or conduct transactions, for your benefit, the Company recommends that you carefully read this Agreement and TokenPocket prompts, understand the transaction object and product information, and carefully assess the risks before taking action.
6.5 We suggest that you make a secure backup of your wallet password, private key, mnemonic phrase and Keystore information when creating or importing a wallet. We remind you not to use the following backup methods: screenshots, emails, notepads, SMS, WeChat, QQ and other electronic backup methods. We suggest that you copy the mnemonic phrase and Keystore information on a paper notebook, and you can also keep the electronic data in a password manager.
7.1 You agree that the Company may temporarily provide some service functions, or suspend some service functions or open new service functions in the future to ensure the right of independent business operation. When any function is reduced, increased or changed, as long as you still use the services provided by the Company, it means that you still agree to this Agreement or the revised terms of this Agreement.
7.2 You understand that the Company will suspend the provision of services in the following circumstances:
a. Business interruption due to technical reasons such as equipment, blockchain system maintenance, upgrade, failure and communication interruption;
b. Due to force majeure factors such as typhoons, earthquakes, tsunamis, floods, power outages, wars or terrorist attacks, viruses, Trojans, hacker attacks, system instability or government actions, the Company's system cannot provide services or the Company reasonably believes that continuing to provide services will have greater risks;
c. Other circumstances that the Company cannot control or reasonably foresee.
8.1 You shall abide by the laws and regulations of the country or region where you reside, and shall not use TokenPocket for any illegal purpose, nor shall you use the Company's services in any illegal way.
8.2 You shall not use TokenPocket to engage in illegal or criminal acts, including but not limited to:
a. Engaging in any illegal and criminal acts, including but not limited to money laundering, illegal fund-raising, etc.;
b. Accessing the Company's services, collecting or processing content provided by the Company, interfering or attempting to interfere with any user or accessing the Company's services in any other way by using any automated program, software, engine, web crawler, web analysis tool, data mining tool or similar tool;
c. Providing gambling information or inducing others to participate in gambling in any way;
d. Invading others' TokenPocket wallets to steal digital tokens;
e. Conducting transactions that do not match the transaction content claimed by the counterparty, or untrue transactions;
f. Engaging in any acts that infringe or may infringe on the TokenPocket service system and data;
g. Other illegal acts and acts that the Company reasonably believes are inappropriate.
The Company attaches great importance to the protection of user privacy. For relevant privacy protection policies, please refer to the "TokenPocket Privacy Policy" published and updated by the Company from time to time.
10.1 The Company is only responsible for the obligations listed in this Agreement.
10.2 You understand and agree that, within the scope permitted by law, the Company can only provide TokenPocket services according to the existing technical level and conditions. The Company is not responsible for the failure of TokenPocket to provide normal services due to the following reasons:
a. TokenPocket system shutdown for maintenance or upgrade;
b. Due to force majeure reasons such as typhoons, earthquakes, floods, lightning or terrorist attacks;
c. Failure of your mobile device hardware and software and communication lines and power supply lines;
d. You operate improperly or use the Company's services in a way not authorized or recognized by the Company;
e. Due to viruses, Trojans, malicious program attacks, network congestion, system instability, system or equipment failure, communication failure, power failure, banking and other reasons or government actions;
f. Any other reasons not caused by the Company.
11.1 The Company's services will meet all your needs;
11.2 Any technology, products, services, information obtained by you through the Company's services will meet your expectations;
11.3 Guarantee the timeliness, accuracy, completeness and reliability of digital token market transaction information captured by the Company from third-party exchanges;
11.4 Parties to your transactions on TokenPocket will fulfill their obligations in the transaction agreement reached with you in a timely manner.
12.1 This Agreement consists of the "TokenPocket Service Agreement", "TokenPocket Privacy Policy" and various rules published by the Company from time to time.
12.2 If part of the content of this Agreement is found to be violated or invalid by a court with jurisdiction, it will not affect the validity of other contents.
12.3 Any translated version of this Agreement is provided for the convenience of users only and is not intended to modify the terms of this Agreement. If there is a conflict between the Chinese version and the non-Chinese version of this Agreement, the Chinese version shall prevail.
1. TokenPocket is an application developed and owned by the Company. The intellectual property rights of any content displayed in TokenPocket (including this Agreement, announcements, articles, videos, audios, pictures, archives, information, materials, trademarks or logos) are owned by the Company or third-party rights holders. Users may only use the TokenPocket application and the content therein for the purpose of holding and managing digital tokens. Without the prior written consent of the Company or the third-party rights holder, no one may use, modify, reverse compile, copy, publicly disseminate, change, distribute, issue or publicly publish the above application and content without authorization.
2. Without limiting the foregoing, TokenPocket and its rights holders reserve all intellectual property rights related to this ecosystem, including but not limited to interface design, API / SDK, interface documentation, branding, logos, algorithms, service rules, display styles, and other technical or business information. You may only use the aforementioned content within the scope permitted by this Agreement and shall not engage in tampering, reverse engineering, cracking, copying, disclosure, imitation, or reverse reconstruction of internal implementations.
3. If you obtain interface documentation, technical data, access credentials, logs, or other information containing the Company's trade secrets based on this Agreement, you shall bear the corresponding confidentiality obligations and shall not disclose or publish such information in any form to any third party without the Company's prior written authorization. Upon termination of this Agreement or revocation of access permission, unless otherwise mandatory by law, you shall immediately stop using the relevant materials and delete or destroy them according to the Company's requirements.
14.1 The validity, interpretation, modification, execution and dispute resolution of this Agreement and its revised versions shall be governed by the laws of the Cayman Islands. If there is no relevant legal provision, international business practices and/or industry practices shall apply.
14.2 If any dispute or controversy occurs between you and the Company, it should first be resolved through friendly negotiation. If negotiation fails, either party may submit it to the people's court with jurisdiction in the place where the Company is registered.
15.1 If you are a user outside the Cayman Islands, you need to fully understand and comply with all relevant laws, regulations and rules of your jurisdiction and the use of the Company's services.
15.2 If you encounter any problems during the use of the Company's services, you can contact us by submitting feedback in TokenPocket.
15.3 You can view this Agreement in TokenPocket. The Company encourages you to review the Company's service agreement every time you access TokenPocket.
